Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Undercurrents website, applications, and related services (collectively, the “Service”) operated by Seedling Systems LLC, a limited liability company (“Seedling,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service is not medical care

Undercurrents is a wellness and personal pattern-tracking journal. It is not a medical device, healthcare provider, telehealth platform, or substitute for professional medical advice, diagnosis, or treatment. Content in the Service—including plans, insights, AI-generated text, and suggestions—is provided for general informational and educational purposes only.

You must consult a qualified clinician before changing medications, supplements, diet, exercise, or treatment plans, especially if you have diagnosed conditions. In a medical emergency, call emergency services immediately. See our Legal & safety page for additional disclaimers.

2. Eligibility

You must be at least 18 years old (or the age of majority where you live, if higher) and able to form a binding contract. You may not use the Service if you are prohibited by law or if we have suspended or terminated your account.

3. Your account

• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• You agree to provide accurate registration information and to keep it reasonably current.
• You must notify us promptly through Support if you suspect unauthorized access.
• One person per account unless we expressly authorize otherwise.

4. Subscriptions, trials, and billing

Paid features may require a subscription processed by Stripe, Inc. (“Stripe”). By subscribing, you authorize us and Stripe to charge your payment method on a recurring basis until you cancel in accordance with these Terms and in-app billing controls.

• Free trial: If offered, trial length and eligibility are shown at checkout or in the Service. When the trial ends, paid access may stop unless you subscribe.
• Price changes: We may change subscription prices with reasonable advance notice where required by law; continued use after the effective date constitutes acceptance unless you cancel.
• Cancellation: You may cancel through billing settings or the Stripe customer portal. Cancellation stops future charges; access may continue until the end of the current paid period unless stated otherwise.
• Refunds: Except where required by law, fees are non-refundable once charged. Chargebacks may result in account suspension.

Stripe’s terms and privacy policy also apply to payment processing. We do not store full payment card numbers on our servers.

5. Acceptable use

You agree not to:

• Use the Service for unlawful, harmful, fraudulent, or abusive purposes;
• Attempt to access another user’s data, probe or scan our systems without authorization, or interfere with the Service;
• Reverse engineer, scrape, or bulk-export the Service except through features we provide (e.g., your personal data export);
• Upload malware or content that infringes others’ rights;
• Misrepresent your identity or health status to obtain inappropriate clinical outcomes;
• Use the Service in any manner that could harm Seedling, other users, or the public.

6. Your content and license

You retain ownership of information you submit (“User Content”). You grant Seedling a non-exclusive, worldwide, royalty-free license to host, process, encrypt, display back to you, and use User Content solely to operate, secure, improve, and support the Service—including generating insights and, if you opt in, creating anonymized research aggregates as described in our Privacy Policy.

We do not claim ownership of your personal health journal for purposes outside operating the Service.

7. Our intellectual property

The Service, including software, design, trademarks, and documentation (excluding User Content), is owned by Seedling or its licensors and protected by intellectual property laws. We grant you a limited, revocable, non-transferable license to use the Service for personal, non-commercial purposes in accordance with these Terms.

8. Privacy

Our Privacy Policy explains what we collect, how we protect it, and your choices. We do not sell your personal information. We do not run third-party advertising networks in the Service.

9. Third-party services

The Service integrates with subprocessors such as cloud hosting, Stripe (payments), email delivery, and Anthropic (AI processing). Their handling of data is limited to what is needed to provide their function and is described in our Privacy Policy. We are not responsible for third-party sites you visit outside the Service.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEEDLING DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF INSIGHTS OR AI OUTPUTS. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT PATTERNS DETECTED WILL IMPROVE YOUR HEALTH.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEEDLING AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR HEALTH OUTCOMES, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the fullest extent permitted by law.

12. Indemnification

You will defend, indemnify, and hold harmless Seedling from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your User Content, or your violation of these Terms or applicable law, except to the extent caused by our gross negligence or willful misconduct.

13. Dispute resolution

Informal resolution. Before filing a claim, you agree to contact us through Support and attempt to resolve the dispute informally for at least thirty (30) days.

Arbitration. Except for qualifying small-claims matters or injunctive relief for intellectual property or unauthorized access, disputes will be resolved by binding individual arbitration under the rules of the American Arbitration Association (or equivalent) in English, rather than in court, unless prohibited by law. Class actions and jury trials are waived to the extent permitted.

Governing law. These Terms are governed by the laws of the United States and the state in which Seedling Systems LLC is principally organized, without regard to conflict-of-law rules, except where mandatory consumer protections in your country of residence apply.

14. Suspension and termination

We may suspend or terminate access if you violate these Terms, create risk or legal exposure, or if we discontinue the Service. You may delete your account at any time in Settings. Upon termination, your right to use the Service ends; provisions that by nature should survive (including disclaimers, limitations, indemnity, and dispute terms) survive.

15. Changes

We may update these Terms. We will post the revised version with a new effective date and, for material changes, provide reasonable notice (e.g., email or in-app notice). Continued use after the effective date constitutes acceptance unless prohibited by law.

16. General

• These Terms, together with the Privacy Policy and consent flows in the Service, are the entire agreement between you and Seedling regarding the Service.
• If any provision is unenforceable, the remainder stays in effect.
• Our failure to enforce a provision is not a waiver.
• You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
